1. Acceptance of Terms

By accessing or using Kolab.sg ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms constitute a legally binding agreement between you and Kolab.sg. We reserve the right to modify these Terms at any time, and your continued use of the Platform constitutes acceptance of any changes.

2. Definitions

• •"Creator" refers to individuals who create content for social media platforms
• •"Business" refers to companies or individuals offering products/services for collaboration
• •"Collaboration" refers to a barter arrangement between a Creator and Business
• •"Campaign" refers to a specific opportunity posted by a Business
• •"Deliverables" refers to the content a Creator agrees to produce

3. User Accounts

To use certain features of the Platform, you must create an account. You agree to:

• •Provide accurate, current, and complete information during registration
• •Maintain the security of your account credentials
• •Notify us immediately of any unauthorized use of your account
• •Be responsible for all activities that occur under your account
• •Be at least 18 years old or the age of majority in your jurisdiction

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Platform Usage

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not:

• •Use the Platform for any fraudulent or deceptive activities
• •Misrepresent your identity, follower counts, or business credentials
• •Harass, abuse, or harm other users
• •Spam or send unsolicited communications
• •Attempt to bypass any Platform security measures
• •Use automated systems or bots to access the Platform
• •Circumvent the Platform to conduct off-platform transactions

5. Barter Collaboration Terms

Kolab.sg facilitates barter collaborations between Creators and Businesses. Key terms include:

5.1 No Cash Exchanges

The Platform is designed for product/service-for-content exchanges only. Cash payments between users are not facilitated or protected by the Platform. Any off-platform monetary arrangements are at your own risk and outside the scope of these Terms.

5.2 Agreement Terms

When a Creator accepts a Campaign, both parties agree to the deliverables, timeline, and product/service exchange as specified. Changes to agreed terms must be mutually consented to through the Platform.

5.3 Deliverable Standards

Creators must produce content that meets the agreed specifications and complies with advertising standards and platform guidelines. Content must be original and not infringe on third-party rights.

5.4 Product/Service Fulfillment

Businesses must provide products/services as described in the Campaign. Products should be of merchantable quality and services should be delivered as specified.

6. Platform Role and Limitations

The Platform provides tools for Creators and Businesses to connect and manage collaborations. We do not:

• •Guarantee the quality of products, services, or content
• •Act as an employer, agent, or representative of any user
• •Mediate all disputes (though we provide resolution support)
• •Guarantee campaign results or engagement metrics

7. Fees and Payments

Kolab.sg charges service fees on completed collaborations:

• •Creator fee: 5% of the estimated collaboration value
• •Business fee: Varies based on subscription tier

8. Dispute Resolution

We encourage users to resolve disputes directly. If direct resolution fails:

• •Either party may file a dispute through the Platform
• •Our team will review evidence from both parties
• •We may issue warnings, suspend accounts, or recommend resolutions
• •Our decisions aim to be fair but are not legally binding arbitration

9. Warning System

We maintain a warning system to ensure platform integrity:

• •First warning: Account notification and temporary restrictions
• •Second warning: Extended restrictions and mandatory review
• •Third warning: Permanent account suspension

Severe violations may result in immediate suspension without prior warnings.

10. Intellectual Property

Content ownership works as follows:

• •Creators retain ownership of content they create
• •Businesses receive usage rights as specified in collaboration terms
• •Kolab.sg owns all Platform content, trademarks, and technology
• •Users grant Kolab.sg a license to display profile content on the Platform

11. Limitation of Liability

To the maximum extent permitted by law:

• •The Platform is provided "as is" without warranties of any kind
• •We are not liable for indirect, incidental, or consequential damages
• •Our total liability is limited to fees paid to us in the preceding 12 months
• •We are not responsible for user-to-user interactions or collaboration outcomes

12. Indemnification

You agree to indemnify and hold harmless Kolab.sg, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another party.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Singapore.

14. Termination

You may terminate your account at any time through your account settings. We may suspend or terminate your account for violations of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall remain in effect.

15. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the modified Terms.
